41-year-old George Ellis and 43-year-old Mark Lett met the man after Christmas drinks in the city in December 2021.
A jury at Hove Crown Court took 41 minutes to return the verdict following a week-long trial.
The pair had maintained that the sexual encounter between the three men had been consensual.
Both men were also acquitted of causing a person to engage in sexual activity without consent.
